By accessing, browsing, or using MaxValid's website, mobile applications, or any other services (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

If you do not agree to these terms, you must discontinue use of our Services immediately. We reserve the right to modify these terms at any time, and continued use constitutes acceptance of any changes.

2 Services Description

MaxValid provides comprehensive software development services, including but not limited to:

• AI-powered application development and integration
• Mobile application development (iOS, Android, Flutter, React Native)
• Full-stack web development and responsive design
• Fintech solutions and e-commerce platforms
• Custom software development and ERP systems
• UI/UX design and user experience optimization
• Ongoing maintenance, support, and consulting services

Services are provided on a project basis or through subscription agreements, as specified in individual contracts or service agreements.

3 User Obligations

As a user of our Services, you agree to:

1. Provide accurate, current, and complete information during registration and project initiation
2. Maintain the security and confidentiality of your account credentials
3. Use our Services only for lawful purposes and in accordance with these Terms
4. Not attempt to reverse engineer, decompile, or disassemble any proprietary software
5. Not use our Services to transmit harmful code, malware, or disruptive technologies
6. Respect intellectual property rights of MaxValid and third parties
7. Provide timely feedback, approvals, and necessary materials for project completion

4 Intellectual Property Rights

All intellectual property rights in the Services, including but not limited to software code, designs, algorithms, documentation, and proprietary methodologies, remain the exclusive property of MaxValid unless otherwise specified in a written agreement.

5 Payment Terms

• Pricing: All prices are quoted in USD unless otherwise specified and are subject to change with 30 days' notice
• Payment Schedule: Payment terms are established in individual service agreements, typically requiring deposits and milestone-based payments
• Late Payments: Overdue invoices may incur late fees of 1.5% per month or the maximum allowed by law
• Refunds: Refund policies vary by service type and project phase. Custom development work is generally non-refundable after commencement
• Taxes: Clients are responsible for all applicable taxes, duties, and government fees

6 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. Confidential information includes, but is not limited to:

• Business strategies, financial data, and operational information
• Technical data, source code, algorithms, and software architecture
• Customer lists, pricing information, and marketing plans
• Any information marked as confidential or that should reasonably be considered confidential

Confidentiality obligations survive termination of services and remain in effect for a period of five (5) years unless otherwise specified in a separate non-disclosure agreement.

7 Warranties and Disclaimers

MaxValid warrants that services will be performed with reasonable care and skill in accordance with industry standards. However:

To the maximum extent permitted by law, MaxValid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

• Your use or inability to use our Services
• Unauthorized access to or alteration of your data
• Third-party conduct or content on the Services
• Any other matter relating to the Services

Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

9 Termination

Either party may terminate services with written notice as specified in the service agreement. MaxValid reserves the right to suspend or terminate access immediately if you:

• Breach these Terms and Conditions
• Fail to make timely payments
• Engage in fraudulent or illegal activities
• Violate intellectual property rights

Upon termination, you must cease all use of our Services and destroy any confidential information in your possession. Payment obligations for completed work remain enforceable.

10 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
